Equatorial Group Board of Directors
The Board of Directors is the deliberative body responsible for establishing its general business policies, including long-term strategy. It is also responsible, among other duties, for overseeing the management of the Company’s officers. Board meetings are held whenever necessary, called by the chairman of the Board of Directors or by the majority of its members, with the call being waived if all Board members are present.
The Bylaws of Equatorial establish a minimum of 3 directors and a maximum of 9 directors. Directors are elected at a General Meeting of shareholders for a term of 2 years, with re-election permitted, and may be removed by the shareholders gathered in a General Meeting. Currently, 9 out of the 9 members of the Board of Directors are considered independent, which corresponds to 100% of its composition.

Eduardo Parente has a degree in production engineering from UFRJ and a master's degree in business administration from New York University. Summary of his main professional experiences in the last 5 years: Since 2018, he has been the president of the Yduqs Group, responsible for the education of more than 1.2 million students throughout Brazil, through institutions such as Estácio de Sá University, IBMEC and QConcursos. Previously, he was the president of Companhia Siderúrgica do Pecém, Porto do Açu and MRS Logística. He was also a director at Vale and worked at the consulting firm McKinsey & Company for 9 years, where he was the partner responsible for the Rio de Janeiro office. He has served on the board of several other companies and entities, notably VLI, CSP, Bradespar and Alcoa Latam. Since 2019, Eduardo has been a professor of the Management Principles course for freshmen at Estácio.

Mr. Aché is an economist and founding partner of Squadra Investimentos - Gestão de Recursos Ltda., serving as CEO and co-CIO of this company. He also serves as a Board Member of the Imaginarium Group. Mr. Aché was head of the corporate analysis area of Banco Pactual between 1993 and 1998, where he started as an analyst in 1991. From 1998 to 2007, he was one of the founding partners and director of JGP Gestão de Recursos, where he was the Portfolio Manager responsible for equity investments, both in Brazil and in other emerging markets.

Mr. Tinn Freire Amado holds a degree in Electrical Engineering from the Federal School of Engineering of Itajubá (MG), with a master's degree in Regulatory Economics and Competition Defense from UNB. He held the position of Director of Regulatory Affairs of the Company, and, until September 2024, he held the position of statutory Director without specific designation in the Company. Mr. Tiago Noel is responsible for investments in the electric power sector in Opportunity's funds, which he joined in 2020. He was a partner at Athena Capital from 2014 to 2020, covering the electric power, infrastructure and oil & gas sectors, having previously worked in the risk, equity research and management areas of Modal Asset Management and in strategic planning at Enel Brasil. He holds a bachelor's degree in Economics from Universidade Federal Fluminense.

Dennis Herszkowicz took over as CEO of TOTVS in November 2018 to lead the company's growth, operations, results and people management strategy, culminating in the creation of a strategy based on three business dimensions: Management, techfin and business performance. With a degree in Marketing from the Escola Superior de Propaganda e Marketing (ESPM), Dennis has over 20 years of experience in the technology area. For 15 years, he worked at Linx as a partner and statutory director, holding different vice-presidencies, in addition to having been a member of the Board of Directors from 2011 to 2014. He ended his activities at the company as Executive VP of New Markets. His longest-serving position within the company, between 2012 and 2017, was as CFO and Director of Investor Relations, being responsible for the IPO in 2013 and follow-on in 2016, in addition to 20 acquisitions during that period. Independent Member in accordance with the criteria of CVM Resolution 80 and the B3 Novo Mercado Regulation.

Equatorial Group Board of Executive Officers
The directors are the legal representatives of Equatorial Energia, responsible primarily for the day-to-day administration of the Company and for implementing the general policies and guidelines established by the Board of Directors. According to the Corporation Law, each member of the Executive Board must be a resident of the country and may be a shareholder or not. Additionally, at most one-third of the positions on the Board of Directors may be filled by members of the Executive Board.
The Bylaws of Equatorial stipulate that the Executive Board will consist of at least 2 Directors, including a Chief Executive Officer and a Chief Financial Officer, with the remaining members elected to serve on the Executive Board without specific titles, all having a term of 3 years, with re-election permitted.

Mr. Miranda has been the CEO of Equatorial Energia since 2015. He was the CEO of CEMAR, a company in the energy sector and a company under common control with the Company, since April 2010. Summary of his main professional experiences in the last 5 years: From 2007 to 2010, he was Vice President of Operations and, previously, he was Director of Engineering at CEMAR since July 2004. Mr. Miranda is an experienced executive with over 32 years of experience in the electricity sector, of which over 17 years at the Company. Before joining CEMAR, Mr. Miranda held several positions in the areas of management of maintenance of the electrical system at COELBA, in the energy sector, and was also COELBA's representative at the CCON. Mr. Miranda is an electrical engineer graduated from the Federal University of Bahia, with a specialization in Maintenance Management promoted by Eletrobrás in partnership with PUC/RJ and the Federal School of Engineering of Itajubá/MG and an MBA in management of electric power companies from FGV/SP.

Mr. Lima was elected Director of Investor Relations of CELPA (the Company’s former corporate name) in November 2012 and remained in that position until January 2014, when he became Chief Financial and Administrative Officer of Equatorial Pará. Mr. Lima was also Director of CEMAR (the former corporate name of Equatorial Maranhão) from April 2011 to October 2012. Previously, he was Controller of CEMAR (a position he held from 2007 to April 2011) and Planning and Management Coordinator (from 2005 to 2007). Before joining CEMAR, Mr. Lima worked at Telemar Norte Leste, in the telephone sector, ABN Amro, in the banking sector, URB - Empresa de Urbanização do Recife, in the urbanization sector, and at Shell Brasil, in the oil sector. Mr. Lima is an executive with over 21 years of experience, of which over 16 years at the Company. Graduated in Civil Engineering from the University of Pernambuco, with a postgraduate degree in Production Management and an MBA in Electric Energy Business Management from FGV. Mr. Logrado, a 48-year-old Mechanical Engineer, has worked for the Equatorial Energia group since January 2007 (15 years), having held the positions of Regulatory Affairs Manager at CEMAR (currently Equatorial Maranhão), Corporate Regulatory Affairs Manager, and Regulatory Superintendent. As superintendent, his responsibilities encompassed all of the group's distributors, the transmission segment, and the new line of action in sanitation. In 2006, he was a technical advisor for Abraceel (Brazilian Association of Electric Energy Trading Agents). From July 2002 to January 2005, he worked at the Electricity Trading Regulation Superintendence (SRC) at ANEEL. His academic background began with a degree in Mechanical Engineering, followed by a master's degree in Mechanical Engineering with a focus on technical and economic analysis of generation systems based on gas turbines and combined cycles. Subsequently, there was a complement in the form of a specialization course in the financial area (MBA in Financial Administration and Capital Markets - FGV Brasília), and more recently a new MBA (IDP, Brasília, completion in Jul/2022), now in the area of Data Science.

Mr. Nogueira is a business administrator graduated from Universidade Salvador – UNIFACS in 1988. In these roles, he acted as responsible for the management of all the Group's litigation (strategic, civil, labor, tax and consumer), as well as legal consultant for the business areas (distribution, transmission, generation, services, marketing and sanitation). Mr. Marcos Antônio Souza de Almeida is an executive with over 42 years of experience in the electricity sector. From 2017 to 2022, he was Commercial Director and CEO of Equatorial Pará. As of October 2022, he became a member of the Board of Directors of Equatorial Energia. Mr. Rodrigues is a civil engineer with a Master's degree in Energy Efficiency and Sustainability from UFMS. He has over 23 years of experience in basic sanitation, with an emphasis on water and sewage. He has worked in the technical and executive areas in full and administrative water and/or sewage concessions in the 5 regions of the country. In recent years, he served as executive director of a water and sewage concessionaire in a municipality with 850,000 inhabitants, increasing EBITDA by over 70% and reducing water losses to under 25%. He has executive experience in transfers of control of water and/or sewage services, both from public to private control and between private controls. He was responsible for implementing the first sewage treatment unit in Brazil that uses an extended aeration system with high-performance intermittent cycles. He has managed environmental and community relations programs in water and sewage concessions for 125 municipalities.

Equatorial Group Fiscal Council
The Fiscal Council of Equatorial is not permanent. Its main powers, duties, and functions include auditing and supervising the actions of management and issuing opinions on financial statements. According to the Law of Corporations, the Fiscal Council is an independent body from both management and external audit of companies. Its primary responsibilities are to oversee the actions of administrators and to examine and provide opinions on the financial statements for the fiscal year.
The Fiscal Council is established only in fiscal years when requested by shareholders in accordance with the provisions of the Law of Corporations. If established, the Fiscal Council will consist of 3 to 5 effective members and an equal number of alternates, elected by the General Meeting. In this case, its members and alternates, whether shareholders or not, are elected by the General Meeting, which also decides on its establishment and sets fees, respecting legal limits. When in operation, the Fiscal Council has the powers and responsibilities conferred by law. The operation of the Fiscal Council concludes at the first Ordinary General Meeting held after its establishment.

Saulo de Tarso Alves de Lara holds a degree in Business Administration (1979) from Fundação Getulio Vargas. He took extension courses at IMD - International Management Development (1984) where he obtained his postgraduate degree in Control and Finance. Mr. Lara began his career at Arthur Andersen, remaining as an external auditor for ten years. From 1987 to 1996, he worked in the construction segment, in the cement industry, responsible for the area of control and corporate control of operations in Brazil and South America. In 1996, he was appointed to be the CFO of an American company in the packaging sector. In 1998, he was hired as Director of Planning and Control at Cyrela Brazil Realty, in the real estate sector, remaining with the company until 2010, when he assumed the position of Director of Controllership at PDG Realty, in the real estate sector. From 2013 to 2022, he was the CFO of Greenwood Resource Brasil. He is currently a member of the Advisory Board of Global Timber Resources (GTR) Brazil and Greenwood Brazil, which operate in the Agricultural sector. Mr. Leonardo was appointed Director of Investor Relations at CELPA in November 2012 and served in that role until January 2014, when he became Chief Financial and Administrative Officer. He was also a Director at CEMAR from April 2011 to October 2012. Previously, he held the position of Controller at CEMAR from 2007 to April 2011 and was the Planning and Management Coordinator from 2005 to 2007. Before joining CEMAR, Mr. Leonardo worked at Telemar Norte Leste in the telecommunications sector, ABN Amro in banking, URB – Urbanization Company of Recife in urban development, and Shell Brasil in the oil sector. Mr. Leonardo is an executive with over 21 years of experience, more than 16 of which have been at the Company. He graduated in Civil Engineering from the University of Pernambuco, with a postgraduate degree in Production Management and an MBA in Electric Power Business Management from FGV. In August 2016, he was elected Director of CEMAR. He has been the Vice-President of Finance and Director of Investor Relations at Equatorial Energia since 2024.

Equatorial Maranhão´s Fiscal Council
The Fiscal Council of Equatorial Maranhão is not permanent. Its main powers, duties, and functions include auditing and supervising the administration’s actions and issuing opinions on the financial statements. According to the Corporations Law, the Fiscal Council is an independent body from the administration and the external audit of the companies. Its primary responsibilities are to oversee the actions of the administrators and to examine and opine on the financial statements for the fiscal year.
The Fiscal Council is established only in the fiscal years when requested by shareholders, in accordance with the provisions of the Corporations Law. If established, the Fiscal Council will consist of 5 effective and an equal number of alternate members, elected by the General Assembly. In this case, its members and alternates, whether shareholders or not, are elected by the General Assembly, which decides on its establishment and sets the fees, respecting legal limits. When functioning, the Fiscal Council has the duties and powers conferred by law. Its operational period concludes with the first Ordinary General Assembly held after its establishment.

From 2013 to 2022, he was the CFO of Greenwood Resource Brasil. Equatorial Pará´s Board of Directors
The Board of Directors is the collegiate deliberative body of Equatorial Pará, responsible for establishing its general business policies, including long-term strategy. It is also responsible, among other duties, for supervising the management of the company’s directors. Decisions of the Board of Directors are made by a majority of votes from the members present at the meeting. Meetings of the Board of Directors are held as needed, called by the president of the Board or by a majority of its members, with the call being waived if all directors are present.
The Bylaws of Equatorial Pará establish a minimum of 7 and a maximum of 9 directors. The directors are elected at the General Assembly of shareholders for a term of 3 years, with re-election permitted, and may be removed by shareholders gathered in a General Assembly.
In accordance with the Corporations Law, a member of the Board of Directors is prohibited from voting in any assembly or engaging in any operations or business where there is a conflict of interest with the company.

Equatorial Pará Executive Board
The directors are the legal representatives of Equatorial Pará, mainly responsible for the daily management of the Company and the implementation of general policies and guidelines established by the Board of Directors.
According to the Law of Corporations, each executive officer must be a Brazilian resident, may be a shareholder or not. In addition, up to a maximum of one third of the Board of Directors positions will be filled by members of the Executive Board.
The Bylaws of Equatorial Pará states that the Executive Board shall consist of up to 9 members, being one Chief Executive Officer, one Investor Relations Officer and the others shall have no specific designation, all with 3-year term, subject to re-election.

Equatorial Pará´s Fiscal Council
The Fiscal Council of Equatorial Pará is not permanent. Its key powers, duties and functions are to audit and supervise the actions of the administration and issue opinions on financial statements. According to the Law of Corporations, the Fiscal Council is an independent body from the Company and external audit companies. Its main responsibilities are to oversee the actions of managers and examine and opine on the financial statements of the fiscal year.
The Fiscal Council is installed only in the years prompted by the shareholders in accordance with the provisions of the Law of Corporations. If installed, the Fiscal Council shall consist of five members and equal number of alternates, elected by the General Assembly. In this case, its members and alternates, shareholders or not, are elected by the General Assembly acting installing and fixing the fees, subject to legal limits. When in operation, the Fiscal Council has the duties and powers conferred by law. The period of operation of the Supervisory Board ends at the first Annual General Meeting held after its installation.

Board of Directors of Equatorial Piauí
The Board of Directors is the collegiate decision-making body of Equatorial Piauí, responsible for establishing its general business policies, including long-term strategy. Among other duties, it is also responsible for supervising the management of the company’s directors. Decisions of the Board of Directors are made by a majority vote of the members present at the meeting. Meetings are held as necessary, convened by the chairperson of the Board or by the majority of its members, and may be dispensed with if all board members are present.
The Bylaws of Equatorial Piauí establish a minimum of 3 directors and a maximum of 9 directors. Directors are elected at the General Meeting of shareholders for a term of 3 years, with re-election permitted, and can be removed by shareholders gathered in a General Meeting.
In accordance with the Corporations Law, members of the Board of Directors are prohibited from voting in any meeting or acting in any transactions or business in which they have a conflict of interest with the company.

Board of Directors of CEEE-D
The Board of Directors is the collegiate decision-making body of CEEE-D, responsible for establishing its general business policies, including long-term strategy. It is also responsible, among other duties, for supervising the management of the company’s directors. Decisions of the Board of Directors are made by a majority vote of the members present at the meeting. Meetings are held as necessary, convened by the chairperson of the Board or by the majority of its members, and may be dispensed with if all board members are present.
The Bylaws of CEEE-D establish a minimum of 3 directors and a maximum of 9 directors. Directors are elected at the General Meeting of shareholders for a term of 3 years, with re-election permitted, and can be removed by shareholders gathered in a General Meeting.
In accordance with the Corporations Law, members of the Board of Directors are prohibited from voting in any meeting or acting in any transactions or business in which they have a conflict of interest with the company.

According to the Brazilian Corporation Law, each member of the Board of Executive Officers must be resident in Brazil, and may or may not be a shareholder. In addition, up to a maximum of one third of the positions on the Board of Directors may be filled by members of the Executive Board.
Equatorial CEEE-D’s Bylaws establish that the Board of Executive Officers will be composed of at least 3 members, at most 9 (nine) Executive Officers, being a Chief Executive Officer and an Investor Relations Officer and the other members elected to compose the Board of Executive Officers will not have specific designation, all with a term of office of 3 years, reelection permitted.

Previously, he was the Energy Director at ATP Engenharia in Africa from 2013 to 2016, working on projects ranging from generation to distribution. As Superintendent, his responsibilities encompassed all the group's distribution companies, the transmission segment, and the new sanitation line of business. Throughout 2006, he served as a technical advisor for Abraceel (Brazilian Association of Electric Energy Traders). From July 2002 to January 2005, he worked at the Electricity Commercialization Regulation Superintendency (SRC) of ANEEL. His academic background began with a degree in Mechanical Engineering, followed by a master's in Mechanical Engineering focused on the technical and economic analysis of generation systems based on gas turbines and combined cycles. He later completed a specialization course in finance (MBA in Financial Administration and Capital Markets – FGV Brasília), and more recently, he earned a new MBA (IDP, Brasília, completed in July 2022) in Data Science.
