Equatorial Group Board of Directors

The Board of Directors is the deliberative body responsible for establishing its general business policies, including long-term strategy. It is also responsible, among other duties, for overseeing the management of the Company’s officers. Board meetings are held whenever necessary, called by the chairman of the Board of Directors or by the majority of its members, with the call being waived if all Board members are present.

The Bylaws of Equatorial establish a minimum of 3 directors and a maximum of 9 directors. Directors are elected at a General Meeting of shareholders for a term of 2 years, with re-election permitted, and may be removed by the shareholders gathered in a General Meeting. Currently, 9 out of the 9 members of the Board of Directors are considered independent, which corresponds to 100% of its composition.

Tinn Freire Amado is the Director who previously served as Director of Regulatory Affairs and now acts as Vice President for the Generation and Transmission segments. He coordinated the team responsible for the adjustment and review of usage tariffs for the electricity distribution systems at the Superintendency of Distribution Services Regulation at the National Electric Energy Agency (ANEEL). He also worked as a regulatory specialist at CPFL Energia. Mr. Amado holds a degree in Electrical Engineering from the Federal School of Engineering in Itajubá and a Master's degree in Regulation Economics and Competition Defense from UNB. He has not been subject to criminal convictions, administrative penalties from the CVM, or final judicial or administrative decisions that would have suspended or disqualified him from practicing any professional or commercial activity, thus being duly qualified for his professional duties. Senior Director of Active Equities Investments for Latin America at the Canada Pension Plan Investment Board since May 2017 and Head of the São Paulo Office since December 2021. She was an alternate member of the Board of Directors of STP (Sem Parar). Mr. Tiago Noel is responsible for investments in the electricity sector at Opportunity Funds, where he joined in 2020. He was a partner at Athena Capital from 2014 to 2020, having previously worked in risk, equity research, and management at Modal Asset Management, as well as in strategic planning at Enel Brasil. He holds a Bachelor’s degree in Economics from the Federal University of Fluminense.

Equatorial Group Board of Executive Officers

The directors are the legal representatives of Equatorial Energia, responsible primarily for the day-to-day administration of the Company and for implementing the general policies and guidelines established by the Board of Directors. According to the Corporation Law, each member of the Executive Board must be a resident of the country and may be a shareholder or not. Additionally, at most one-third of the positions on the Board of Directors may be filled by members of the Executive Board.

The Bylaws of Equatorial stipulate that the Executive Board will consist of at least 2 Directors, including a Chief Executive Officer and a Chief Financial Officer, with the remaining members elected to serve on the Executive Board without specific titles, all having a term of 3 years, with re-election permitted.

Mr. Miranda has been the CEO of Equatorial Energia since 2015. He was the CEO of CEMAR, an energy company under common control with the Company, since April 2010. From 2007 to 2010, he served as Vice President of Operations, and prior to that, he was the Engineering Director at CEMAR since July 2004. Mr. Miranda is an experienced executive with over 32 years in the electricity sector, of which more than 17 years have been at the Company. Before joining CEMAR, Mr. Miranda held various positions in the management of electric system maintenance at COELBA, also serving as COELBA’s representative at CCON. Mr. Miranda holds a degree in Electrical Engineering from the Federal University of Bahia, with a specialization in Maintenance Management promoted by Eletrobrás in partnership with PUC/RJ and the Federal School of Engineering of Itajubá/MG, as well as an MBA in Electric Power Management from FGV/SP.

Mr. Leonardo was appointed Director of Investor Relations at CELPA in November 2012 and served in that role until January 2014, when he became Chief Financial and Administrative Officer. In August 2016, he was elected Director of CEMAR. He has been the Vice-President of Finance and Director of Investor Relations at Equatorial Energia since 2024.

Mr. Logrado, Mechanical Engineer, has been with the Equatorial Energia group since January 2007 (15 years), having held positions such as Regulatory Affairs Manager at CEMAR (now Equatorial Maranhão), Corporate Regulatory Affairs Manager, and Superintendent of Regulation. As Superintendent, his responsibilities encompassed all the group's distribution companies, the transmission segment, and the new sanitation line of business. Throughout 2006, he served as a technical advisor for Abraceel (Brazilian Association of Electric Energy Traders). From July 2002 to January 2005, he worked at the Electricity Commercialization Regulation Superintendency (SRC) of ANEEL. His academic background began with a degree in Mechanical Engineering, followed by a master's in Mechanical Engineering focused on the technical and economic analysis of generation systems based on gas turbines and combined cycles. He later completed a specialization course in finance (MBA in Financial Administration and Capital Markets – FGV Brasília), and more recently, he earned a new MBA (IDP, Brasília, completed in July 2022) in Data Science.

Mr. Nogueira holds a degree in Business Administration from Universidade Salvador (UNIFACS), graduated in 1988. He also has a postgraduate degree in Business Management with a focus on IT from Fundação Getúlio Vargas (FGV/RJ, 2004) and is currently pursuing another postgraduate degree in Electric Power Business Management at FGV/ISAN. He began his career at TELEBAHIA/Telemar Norte Leste in the IT/Telecom sector from 1987 to 2005. He was appointed Director of People, Management, and Finance at CEMAR in July 2016 and remained in that role until December 2017, when he became the Director of the Shared Services Center for the entire Equatorial Energia Group. Mr. Nogueira has also served as General Manager of Corporate Infrastructure at Equatorial Energia from March 2014 to July 2016, and as Manager of Procurement and Logistics at CEMAR from July 2011 to March 2014. He held the position of IT and Telecom Manager at CEMAR from March 2011 to July 2011, and was Manager of Suppliers and Security from April 2009 to March 2011. Additionally, he was Operations Manager for EFC/VALE at CTF Technologies do Brasil and Coordinator of Corporate IT Services at CEMAR from June 2005 to March 2008.
José Silva Sobral Neto Executive Officer 05/15/2024 First Board of Directors Meeting following the SGM
Bachelor of Laws from the Federal University of Maranhão, with a specialization in Tax Law from UNAMA, an MBA in Electric Power Business Management from FGV/Rio, and postgraduate degrees in Business Law from Anhanguera and Tax Law from FGV/Isan, along with an extension course on the New Basic Sanitation Framework from PUC-Rio. He joined Equatorial Maranhão as an intern in 2004 and has held various positions, including Full Lawyer, Senior Lawyer, Legal Coordinator, Legal Manager, Corporate Legal Manager, Legal Superintendent, and since 2020, he has been responsible for the Legal, Compliance, and Data Protection Directorate of the Equatorial Group. In these roles, he managed the entire litigation portfolio of the Group (strategic, civil, labor, tax, and consumer), serving as legal advisor for the business areas (distribution, transmission, generation, services, commercialization, and sanitation). He is also the Executive Director of the Group’s subsidiaries, notably Equatorial Piauí, Equatorial Goiás, CEEED-Equatorial (RS), CEA-Equatorial (AP), Equatorial Serviços, Equatorial Telecom, and Enova, as well as a member of the Board of Directors for Equatorial Maranhão and Equatorial Transmissão. Since 2006, he has served as an Officer of the Equatorial Group's Complementary Pension Fund - EQTPrev, holding certification from ICSS – Instituto de Certificação de Profissionais de Seguridade Social, and serving as President of the Deliberative Council. José Ailton Rodrigues Executive Officer 05/15/2024 First Board of Directors Meeting following the SGM
Mr. Rodrigues is a civil engineer with a Master's in Energy Efficiency and Sustainability from UFMS. He has over 23 years of experience in basic sanitation, with an emphasis on water and sewage. He has worked in technical and executive roles in full and administrative water and/or sewage concessions across all five regions of the country. In recent years, he served as the executive director of a water and sewage concessionaire in a municipality with 850,000 inhabitants, achieving an EBITDA increase of over 70% and reducing water loss to below 25%. He has executive experience in transferring control of water and/or sewage services, both from public to private control and between private controls. He was responsible for implementing Brazil's first sewage treatment unit using the extended aeration system with intermittent cycles and high performance. He has managed environmental programs and community relations in water and sewage concessions for 125 municipalities.

Mr. Ferreira is an electrical engineer graduated from the University of Brasília, with a specialization in Financial Administration from Fundação Getúlio Vargas (FGV) and a specialization in Telecommunications from the University of Brasília. From 2015 to March 2017, he worked as Commercial Director at CEB Distribuição S.A., and from March 2017 to January 2019, he was General Director. From 2012 to 2015, he held a directorship at Indra S.A., and from 2010 to 2012, he worked at Contax S.A. His earlier experience includes positions at Brasil Telecom S.A. from 2003 to 2010, Telemar S.A. from 2001 to 2002, and Telebrasília Celular S.A. from 1998 to 1999, as well as at Telecomunicações Brasileiras S.A. (TELEBRAS) from 1994 to 1997.

Equatorial Group Fiscal Council

The Fiscal Council of Equatorial is not permanent. Its main powers, duties, and functions include auditing and supervising the actions of management and issuing opinions on financial statements. According to the Law of Corporations, the Fiscal Council is an independent body from both management and external audit of companies. Its primary responsibilities are to oversee the actions of administrators and to examine and provide opinions on the financial statements for the fiscal year.

The Fiscal Council is established only in fiscal years when requested by shareholders in accordance with the provisions of the Law of Corporations. If established, the Fiscal Council will consist of 3 to 5 effective members and an equal number of alternates, elected by the General Meeting. In this case, its members and alternates, whether shareholders or not, are elected by the General Meeting, which also decides on its establishment and sets fees, respecting legal limits. When in operation, the Fiscal Council has the powers and responsibilities conferred by law. The operation of the Fiscal Council concludes at the first Ordinary General Meeting held after its establishment.

Saulo de Tarso Alves de Lara Fiscal Council Member 04/28/2023 Up to SGM of 2024
Saulo de Tarso Alves de Lara graduated in Business Administration (1979) from Fundação Getulio Vargas. He completed extension courses at IMD – International Management Development (1984), where he obtained his postgraduate degree in Control and Finance. Mr. Lara began his career at Arthur Andersen, working as an external auditor for ten years. From 1987 to 1996, he worked in the construction industry, in the cement sector, responsible for corporate control of operations in Brazil and South America. In 1996, he was appointed CFO of an American packaging company. In 1998, he was hired as Planning and Control Director at Cyrela Brazil Realty in the real estate sector, remaining there until 2010, when he took the position of Controllership Director at PDG Realty, also in real estate. Since 2013, he has been CFO of Greenwood Resource Brasil. Saulo has been a member of the Audit Committee of CELPA since April 2016. He has not been subject to criminal conviction, penalties in administrative proceedings before CVM, or final judgments that would result in suspension or disqualification from any professional or commercial activity, thus being duly qualified to practice his professional activities. He is not considered a politically exposed person, as defined by applicable regulations. From 2013 to 2022, he was the CFO of Greenwood Resource Brasil. He is currently a member of the Advisory Board of Global Timber Resources (GTR) Brasil and Greenwood Brasil, which operate in the Agricultural area. Saulo was a member of the Board of Directors of REP Shopping Center, TGLT Real Estate (Argentina), Tarjab Incorporações, of the Fiscal Committee of Sociedade Rural Brasileira – SRB, member of the Fiscal Council of PDG Realty, Cyrela Comercial Properties and of the audit committee of Privalia S.A. Mr. Dominguez holds a degree in Accounting from the Federal University of Rio Grande do Sul and has completed extension courses in Capital Markets from the same university and Cost Accounting from the Pontifical Catholic University of Rio Grande do Sul. He is an executive partner at HB Audit – Independent Auditors S.S., where his main role is to execute, review, and supervise independent audit work and he serves as the technical responsible before CVM. He is a full member of the Audit Committee of the following companies: Odontoprev S.A. (dental plans), Sanepar (sanitation), Tecnisa S.A. (real estate), and Weg S.A. (equipment); and serves as an alternate member of the Audit Committees of Marcopolo S.A., Padtec S.A., IdeiasNet S.A., and Officer Distribuidora S.A. In the last five years, he has served as a member of the Audit Committee for various companies, including Triunfo Participações e Investimentos S.A. and CEMAR (a subsidiary), OSX Brasil S.A., Tegma Gestão e Logística S.A. (logistics), Multiplus S.A. (loyalty), MPX Energia S.A. (energy), Tupy S.A. (a metallurgical company), and Marisol S.A. (textiles). Mr. Vanderlei has been a member of the Audit Committee of CELPA since April 2015. Claudia Trotta holds a law degree from the Law School of Curitiba and specializes in Corporate Law from the Federal University of Paraná. She is currently a partner at Trotta, Ceccatto Advogados Associados, a law firm specializing in Corporate Law, Business Law, Foreign Investments, Business Contracts, Administrative and Competition Law, Environmental Law, Civil Law, and Real Estate Law since 2013. She was also a partner at Augusto Prolik – Advogados Associados from 1995 to 2013, practicing in the areas of Business Law, Corporate Law, Contracts, and Foreign Investments. Ms. Trotta has been a member of the Commission for Law Firms of the Brazilian Bar Association, Paraná Section, since July 2013, and served as an instructor on the Selection Committee of the Brazilian Bar Association, Paraná Section, from January 2005 to January 2007, where she was responsible for reporting on the filing processes for the establishment, alteration, and other corporate acts of law firms.

Paulo Roberto is a partner at Audicontrol Auditoria e Controle, an independent auditing and consulting firm specializing in accounting and tax matters since 1995. As a senior partner, he is responsible for the strategic direction of the business and the technical oversight of projects alongside other partners. He worked in international auditing for 18 years before establishing Audicontrol. He is a full member of the Audit Committee of the Company and the following companies: Triunfo Participações Investimentos S.A., Centro de Imagem Diagnósticos S.A., and Companhia de Saneamento do Paraná – Sanepar. He is also a full member of the following companies within the Equatorial Group: Equatorial Pará S.A., Equatorial Maranhão S.A., and Companhia Estadual de Distribuição de Energia Elétrica (CEEE-D). Ricardo Bertucci, Alternate Audit Committee Member – Mr. Bertucci holds a degree in Accounting from UFPR – Federal University of Paraná and a postgraduate degree in Controllership from FAE Business School. He has been a partner at Audicontrol – Auditoria e Controle since 2011, serving as a senior partner responsible for the strategic direction of the business and the technical oversight of projects in collaboration with other partners.

Board of Directors of Equatorial Alagoas

The Board of Directors is the collegiate decision-making body of Equatorial Alagoas, responsible for establishing its general business policies, including long-term strategy. It is also responsible for supervising the management of the company’s directors, among other duties. Decisions of the Board of Directors are made by a majority vote of the members present at the meeting. Meetings are held as needed, called by the chair of the Board or by the majority of its members, and can be waived if all directors are present.

The bylaws of Equatorial Alagoas establish a minimum of 3 and a maximum of 9 directors. Directors are elected at the General Meeting of shareholders for a term of 3 years, with re-election permitted, and may be removed by shareholders in a General Meeting.

Mr. Logrado, Mechanical Engineer, has been with the Equatorial Energia group since January 2007 (15 years), having held positions such as Regulatory Affairs Manager at CEMAR (now Equatorial Maranhão), Corporate Regulatory Affairs Manager, and Superintendent of Regulation. As Superintendent, his responsibilities encompassed all the group's distribution companies, the transmission segment, and the new sanitation line of business. Equatorial Goiás Board of Directors

 

The Board of Directors is the collegiate decision-making body of Equatorial Goiás, responsible for establishing its general business policies, including long-term strategy. It is also responsible for supervising the management of the company’s directors, among other duties. Decisions of the Board of Directors are made by a majority vote of the members present at the meeting. Meetings are held as needed, called by the chair of the Board or by the majority of its members, and can be waived if all directors are present.

The bylaws of Equatorial Goiás establish a minimum of 5 and a maximum of 11 members, with an equal number of alternates, including a Chairperson and a Vice-Chairperson. Directors are elected at the General Meeting of shareholders for a term of 3 years, with re-election permitted, and may be removed by shareholders in a General Meeting.

During this period, she served as the company's representative on the North Northeast Operations Coordinating Committee (CCON), as an alternate member of the FASCEMAR Deliberative Council from 2009 to 2012, and as the coordinator of the Luz para Todos Program in the state of Maranhão for 8 years. She has held various leadership positions in the company, including Rural Electrification, Market/Tariffs, Manager of Standards and Norms, Equipment Maintenance, and Executive of Expansion for the North and Northwest regions. Equatorial Maranhão´s Fiscal Council

The Fiscal Council of Equatorial Maranhão is not permanent. Its main powers, duties, and functions include auditing and supervising the administration’s actions and issuing opinions on the financial statements. According to the Corporations Law, the Fiscal Council is an independent body from the administration and the external audit of the companies. Its primary responsibilities are to oversee the actions of the administrators and to examine and opine on the financial statements for the fiscal year.

The Fiscal Council is established only in the fiscal years when requested by shareholders, in accordance with the provisions of the Corporations Law. If established, the Fiscal Council will consist of 5 effective and an equal number of alternate members, elected by the General Assembly. In this case, its members and alternates, whether shareholders or not, are elected by the General Assembly, which decides on its establishment and sets the fees, respecting legal limits. When functioning, the Fiscal Council has the duties and powers conferred by law. Its operational period concludes with the first Ordinary General Assembly held after its establishment.

Equatorial Pará´s Board of Directors

The Board of Directors is the collegiate deliberative body of Equatorial Pará, responsible for establishing its general business policies, including long-term strategy. It is also responsible, among other duties, for supervising the management of the company’s directors. Decisions of the Board of Directors are made by a majority of votes from the members present at the meeting. Meetings of the Board of Directors are held as needed, called by the president of the Board or by a majority of its members, with the call being waived if all directors are present.

The Bylaws of Equatorial Pará establish a minimum of 7 and a maximum of 9 directors. The directors are elected at the General Assembly of shareholders for a term of 3 years, with re-election permitted, and may be removed by shareholders gathered in a General Assembly.

In accordance with the Corporations Law, a member of the Board of Directors is prohibited from voting in any assembly or engaging in any operations or business where there is a conflict of interest with the company.

Equatorial Pará Executive Board

According to the Law of Corporations, each executive officer must be a Brazilian resident, may be a shareholder or not. In addition, up to a maximum of one third of the Board of Directors positions will be filled by members of the Executive Board.

Equatorial Pará´s Fiscal Council

The Fiscal Council of Equatorial Pará is not permanent. Its key powers, duties and functions are to audit and supervise the actions of the administration and issue opinions on financial statements. According to the Law of Corporations, the Fiscal Council is an independent body from the Company and external audit companies. Its main responsibilities are to oversee the actions of managers and examine and opine on the financial statements of the fiscal year.

The Fiscal Council is installed only in the years prompted by the shareholders in accordance with the provisions of the Law of Corporations. If installed, the Fiscal Council shall consist of five members and equal number of alternates, elected by the General Assembly. In this case, its members and alternates, shareholders or not, are elected by the General Assembly acting installing and fixing the fees, subject to legal limits. When in operation, the Fiscal Council has the duties and powers conferred by law. The period of operation of the Supervisory Board ends at the first Annual General Meeting held after its installation.

Board of Directors of Equatorial Piauí

The Board of Directors is the collegiate decision-making body of Equatorial Piauí, responsible for establishing its general business policies, including long-term strategy. Among other duties, it is also responsible for supervising the management of the company’s directors. Decisions of the Board of Directors are made by a majority vote of the members present at the meeting. Meetings are held as necessary, convened by the chairperson of the Board or by the majority of its members, and may be dispensed with if all board members are present.

The Bylaws of Equatorial Piauí establish a minimum of 3 directors and a maximum of 9 directors. Directors are elected at the General Meeting of shareholders for a term of 3 years, with re-election permitted, and can be removed by shareholders gathered in a General Meeting.

Board of Directors of CEEE-D

The Board of Directors is the collegiate decision-making body of CEEE-D, responsible for establishing its general business policies, including long-term strategy. It is also responsible, among other duties, for supervising the management of the company’s directors. Decisions of the Board of Directors are made by a majority vote of the members present at the meeting. Meetings are held as necessary, convened by the chairperson of the Board or by the majority of its members, and may be dispensed with if all board members are present.

The Bylaws of CEEE-D establish a minimum of 3 directors and a maximum of 9 directors. Directors are elected at the General Meeting of shareholders for a term of 3 years, with re-election permitted, and can be removed by shareholders gathered in a General Meeting.

Board of Directors of Equatorial Goiás

The Board of Directors is the collegiate decision-making body of Equatorial Goiás, responsible for establishing its general business policies, including long-term strategy. It is also responsible for supervising the management of the company’s directors, among other duties. Decisions of the Board of Directors are made by a majority vote of the members present at the meeting. Meetings are held as needed, called by the chair of the Board or by the majority of its members, and can be waived if all directors are present.

The bylaws of Equatorial Goiás establish a minimum of 5 and a maximum of 11 members, with an equal number of alternates, including a Chairperson and a Vice-Chairperson. Directors are elected at the General Meeting of shareholders for a term of 3 years, with re-election permitted, and may be removed by shareholders in a General Meeting.

In accordance with the Corporations Law, members of the Board of Directors are prohibited from voting in any assembly or participating in any transactions or business in which they have a conflict of interest with the company.

Mr. Miranda is an experienced executive with over 32 years in the electricity sector, of which more than 17 years have been at the Company. Before joining CEMAR, Mr. Miranda held various positions in the management of electric system maintenance at COELBA, also serving as COELBA’s representative at CCON. Mr. Miranda holds a degree in Electrical Engineering from the Federal University of Bahia, with a specialization in Maintenance Management promoted by Eletrobrás in partnership with PUC/RJ and the Federal School of Engineering of Itajubá/MG, as well as an MBA in Electric Power Management from FGV/SP.

Mr. Marcos Antônio Souza de Almeida was the Commercial Director of CEMAR from March 2008 to March 2017. He is an executive with over 26 years of experience in the electric sector. He also served as a board member of the Coelba Complementary Pension Fund – Faelba. Executive Board of Equatorial Goiás

The directors are the legal representatives of Equatorial Energia, primarily responsible for the day-to-day management of the Company and for implementing the general policies and guidelines established by the Board of Directors.

According to the Corporations Law, each member of the Executive Board must be a resident of the country and may be a shareholder or not. Additionally, a maximum of one-third of the positions on the Board of Directors may be filled by members of the Executive Board.

The bylaws of Equatorial Goiás state that the Executive Board will consist of a minimum of 2 and a maximum of 10 directors, all with a term of 3 years, with re-election permitted.

Mr. Rodrigues is a civil engineer with a Master's in Energy Efficiency and Sustainability from UFMS. He has over 23 years of experience in basic sanitation, with an emphasis on water and sewage. He has worked in technical and executive roles in full and administrative water and/or sewage concessions across all five regions of the country. In recent years, he served as the executive director of a water and sewage concessionaire in a municipality with 850,000 inhabitants, achieving an EBITDA increase of over 70% and reducing water loss to below 25%. He has executive experience in transferring control of water and/or sewage services, both from public to private control and between private controls. He was responsible for implementing Brazil's first sewage treatment unit using the extended aeration system with intermittent cycles and high performance. He has managed environmental programs and community relations in water and sewage concessions for 125 municipalities.
